By accessing or using Form D Tracker ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

You represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization.

2. Description of Service

Form D Tracker provides access to SEC Form D filing data and related analytics tools. Our Service includes:

• Real-time alerts for SEC Form D filings matching your criteria
• Searchable database of historical Form D filings
• Data enrichment and analytics for deal sourcing and research
• API access for integrating Form D data into your workflows
• Custom filtering by industry, geography, offering amount, and more

The Service processes thousands of Form D filings annually to deliver private market intelligence for venture capital, private equity, sales teams, and other professionals.

3. SEC Form D Data

Form D Tracker aggregates and displays publicly available data from SEC Form D filings. You acknowledge and agree that:

• Form D data is sourced from the SEC's EDGAR database and is public information
• We do not guarantee the completeness, accuracy, or timeliness of any data
• Filing companies are responsible for the accuracy of their Form D submissions
• The Service is not a substitute for conducting your own due diligence
• Data should not be used as the sole basis for investment decisions

4. User Accounts

To access certain features of the Service, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or use

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or completeness of data
• Warranties that the Service will meet your requirements

THE DATA AND ANALYTICS PROVIDED SHOULD NOT BE CONSIDERED INVESTMENT ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY INVESTMENT OR BUSINESS DECISIONS.

9. Limitation of Liability

IN NO EVENT SHALL MAAI SERVICES GROUP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Maai Services Group and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of Delaware.
